Our Approach
A strategic route to the public markets.
Admiralty Capital Corp. seeks to identify and acquire suitable international businesses through reverse takeover transactions, with the objective of securing a Canadian stock exchange listing.
Our approach combines international transaction experience with an understanding of public capital markets, providing a structured pathway for businesses seeking to establish or expand their public-market presence.
We assess each opportunity on its individual merits, considering the underlying business, management, valuation, financing requirements and readiness for the public markets.
Our Process
From acquisition to public markets.
Our approach follows four principal stages, from identifying a suitable business to completing a transaction and pursuing admission to a Canadian stock exchange.
01
Identify & Assess
We evaluate prospective businesses and assets, reviewing their commercial prospects, management, financial position, valuation and capital requirements.
Particular consideration is given to the quality of the underlying business and its suitability for the public markets.
02
Structure the Transaction
Working with the target company's owners, management and professional advisers, we seek to agree an appropriate acquisition structure, consideration, governance arrangements and financing strategy.
03
Prepare for Listing
The proposed transaction progresses through financial, legal and technical due diligence, alongside preparation of the documentation and regulatory requirements necessary for a potential Canadian exchange listing.
04
Complete & Seek Admission
Subject to financing, due diligence and applicable corporate, regulatory and exchange approvals, the acquisition may be completed and the enlarged company admitted to trading on a Canadian stock exchange.
Beyond Canada
International capital markets. Broader opportunities.
A Canadian stock exchange listing may represent the first stage of a broader international capital markets strategy.
Following a successful acquisition and Canadian listing, the enlarged company may consider additional admissions to international markets, including AIM in London or Nasdaq in the United States.
Such opportunities would depend on the company's development, capital requirements, commercial objectives and ability to satisfy the relevant exchange and regulatory requirements.
